ReferPlus™ ContractPlus™ TERMS
& CONDITIONS
By applying to ReferPlus™
(the "Referral Program ") and ContractPlus™ (the "Contracting
to Etchedweb Program"), you are accepting and agreeing to the
terms of these Terms & Conditions ("Agreement") and representing
and warranting that you are authorized to do so. If you are not willing
to be bound by the terms of this Agreement, you will be unable to
apply to ReferPlus™ or ContractPlus™. This Agreement represents
the entire agreement with respect to ReferPlus™ and ContractPlus™
between you and Etchedweb, LLC ("Etchedweb"), unless further written
agreements are provided to you by Etchedweb and it supersedes any
prior proposal, representation, or understanding between the parties.
You will not be able to receive commission from ReferPlus™ or
contract with ContractPlus™ unless you affirmatively agree to
these terms online.
COMMISSIONS FROM REFERPLUS™
Etchedweb.com will pay you a commission
of 15% on all monies received from clients that you refer to us for
the life of the client. This commission applies to web design, development
and hosting. Commission does not apply to third party products and
services such as, but not limited to, SSL certificates, domain names,
or other commissions Etchedweb receives from third parties.
DURATION OF AGREEMENT
You may use Etchedweb's services
in accordance with the terms of this Agreement without expiration,
or until this Agreement is earlier terminated. Once this Agreement
is terminated, you agree that all commissions will cease.
PROPRIETARY RIGHTS
You agree that all Etchedweb's
programming code, logos, graphics and other work performed by Etchedweb
is property of Etchedweb and shall remain property of Etchedweb unless
otherwise stated. Nothing in this Agreement constitutes a waiver of
Etchedweb's rights under the U.S. copyright laws or any other federal
or state laws.
ACCEPTANCE AND TERMINATION
You or Etchedweb may elect to terminate
this Agreement at any time upon written notice to the other party
with any or no explanation and effective immediatelly. In the event
of any such termination, you shall immediately destroy all proprietary
data belonging to Etchedweb.com.
DISCLAIMER OF WARRANTY
In no event will Etchedweb be
liable for direct, indirect, special, incidental or consequential
damages arising out of the use of or inability to use the products
and services Etchedweb provided, even if advised of the possibility
of such damages. Specifically, Etchedweb shall not be responsible
for any costs including but not limited to, those incurred as a result
of lost profits or revenue, loss of data, the cost of recovering such
data, claims by third parties, or for other similar costs. In no case
shall Etchedweb's liability exceed the amount paid for services performed.
The warranty and remedies set forth above are exclusive and in lieu
of all others, oral or written, express or implied.
GENERAL
This License Agreement may be amended
from time to time. Any amendment is effective upon either a posting
of the latest version on the etchedweb.com web site (http://www.etchedweb.com),
or upon notice by electronic mail, or U.S. mail. Your continued use
of ReferPlus™ and ContractPlus™ following notice of any
amendment to these Terms & Conditions shall be conclusively deemed
an acceptance of such amendment.
